Embedded Services Terms

Terms for Scrive Services

If your agreement with Quinyx includes services referred to as “Scrive” or “Scrive Services” (collectively, the “Scrive Services”), these are services provided by Quinyx through its partner Scrive AB, a Swedish entity with its company registration number 556816-6804 and its registered address at Grev Turegatan 11 a 5tr, 114 46 Stockholm, Sweden (“Scrive AB”). 

Quinyx is authorised to resell Scrive Services to its customers subject to certain terms. Customer agrees to the following in respect of the Scrive Services:

  • Customer is, through sub-licensing by Quinyx, granted a subscription-based, limited, non-exclusive and non-transferable license to use the 
    Scrive Services via an integration provided by Quinyx.
  • Customer undertakes to in no event whatsoever decompile, disassemble, or reverse engineer any part of the Scrive Services, nor to alter or duplicate any aspect of the Scrive Services, except as may be explicitly permitted by Scrive AB in writing.
  • Scrive AB’s General eID Terms (https://www.scrive.com/terms/general-eid-terms/) as well as any additional specific terms of use for ordered eID Services as may be applicable and as provided by Scrive AB shall apply to Customers’ use of any eID Services via the Scrive Services.
  • Scrive AB shall be considered an approved sub-processor under the Data Processing Agreement for the purpose of the Scrive Services. Processing of Personal Data by Scrive AB or its sub-processors will be within the EEA, subject to Customer purchasing any eID Services through the Scrive Services that require transfer to a third country.   
  • Customer must assert their contractual claims regarding the Scrive Services exclusively against Quinyx and not against Scrive AB. 
  • Quinyx will use commercially reasonable efforts to ensure that the Scrive Service is available to Customer without material interruptions. The availability guaranteed under the SLA under the Agreement and the remedies available thereunder will however not apply for the Scrive Services. 
  • Notwithstanding anything to the contrary in the Agreement but subject to the exclusions of liability therein, Quinyx’s total cumulative liability arising under the Agreement in relation to the Scrive Services, whether arising by statute, contract, tort, indemnification, or otherwise, will not exceed 100% of the fees paid or payable by Customer to Quinyx for the Scrive Services in the last Contract Year. For the purpose of these Scrive Services specific terms, a “Contract Year” shall mean a 12-month period commencing on the effective date of the Ordering Document under which the Scrive Services were ordered, and any anniversary thereof.
